Equity is an important component to balance license terms for spin-offs in return for backloaded license fees. Taking equity in spin-offs requires specific knowledge and resources in equity management, which is challenging for many research institutions. Therefore, virtual share models are often considered as an alternative. However, at a closer look, also these models come with their own complexity.

In this webinar, we will explore the concept of virtual shares. We will provide insight into specific considerations regarding the structuring of virtual share agreements and discuss advantages and disadvantages compared with equity.
